Incentive Framework Celebrity & Influencer Seeding

This framework lays out progressive phases that reward deFIANT for prioritizing Rachel Bloom through talent introductions, placements, and cultural moments that move the needle.

Note: The existing $5,000 monthly retainer remains active and applies across all phases of this framework.

All incentives apply to earned placements arranged by deFIANT, unless otherwise agreed in writing on a talent-by-talent basis.

Minimum baseline requirement for any bonus: at least 1 × Instagram Story posted by the influencer / celebrity featuring the Rachel Bloom Smart Bag.

This incentive framework will also apply to our upcoming men’s brand, The Smart Bag (TheSmartBag.com).

Phase 1 — Performance-Based Celebrity & Influencer Bonus Structure

In Phase 1, we introduce a clear, tiered bonus structure that rewards deFIANT for each successful partnership (live post, public placement, or aligned content moment) arising from earned placements arranged by deFIANT, unless otherwise agreed in writing.

Base Retainer: The existing $5,000/month retainer remains active in this phase.

Definition of a “Successful Placement”

A successful placement includes any of the following (with the baseline below):

  • Baseline requirement: at least 1 × Instagram Story posted by the influencer / celebrity featuring the Rachel Bloom Smart Bag.
  • A talent-led IG Feed post, TikTok, or story sequence featuring the Rachel Bloom Smart Bag
  • Attendance + feature in content for a campaign shoot
  • Red carpet placement, paparazzi moment, or organic PR pickup
  • A capsule collab exploration with demonstrated interest

Bonuses are paid per individual, and multiple talent secured = stacked bonuses.

Phase 2 — Retainer + Success Fee Model

As the relationship deepens, Phase 2 layers in a success fee on top of the existing retainer to recognize larger, more complex activations.

Base Retainer: The existing $5,000/month retainer remains active in this phase.

Structure

  • Base Retainer: $5,000/month (already active)
  • Success Fee: 10% of the estimated marketing value of any secured major partnership
    Example: A $50,000 equivalent-value activation → $5,000 success fee

Phase 3 — Access, Exclusivity & VIP Perks

Phase 3 is about deepening the relationship and making deFIANT feel like true insiders of the Rachel Bloom brand universe.

Base Retainer: The existing $5,000/month retainer remains active in this phase.

Perks for deFIANT

  • Exclusive early access to new Smart Bag colorways & collections
  • Annual VIP gifting package (full set of bestsellers)
  • Priority invites to launch events, campaign shoots & NYC/LA activations
  • Early access to limited-edition product runs
  • “Inner Circle” brand updates with behind-the-scenes previews

Phase 4 — Future Equity Milestone Program

For a truly exceptional, long-term partnership, Phase 4 introduces a path to equity upside based on clear, agreed milestones.

Base Retainer: The existing $5,000/month retainer remains active in this phase.

Proposed Structure

  • Equity is not granted upfront.
  • Equity unlocks only if milestone criteria are met, such as:
    • 10 A-List or Mega celebrity placements within 12 months
    • A measurable increase in PR visibility, driven by celebrity placements
    • 1–2 confirmed capsule collab opportunities facilitated through talent

Equity Amount Proposed

  • Up to 1% equity, tied to milestone achievement
  • Vesting upon milestone verification
  • Non-voting advisory equity (clean & simple structure)
